M (Central European University).Email: [email protected] [email protected] Mobile: 055 868 86 93Office Hours: By appointmentClass Hours: See the schedule of classesCourse DescriptionThe aim of this Course is to introduce the legal principles, concepts, rules and reasoningapplicable in business context and to provide students with information on the legalenvironment affecting business, with special emphasis on Azerbaijani legislation. The course shall develop students’ theoretical and practical skills to understand andanalyze legal issues that are relevant to business and shape its nature. The course covers the topics such as Introduction to law, business organizations,international business transactions, property rights, intellectual property, governmentregulation of business, torts, contracts, financial institutions, employment law. Course ObjectivesBy the end of the course, alongside with obtaining basic/foundational legal knowledge,students shall be able to apply legal concepts to practical business issues and analyze legalrules from the business context taking into account relevant Azerbaijani legislation.Successful students shall be able to think critically of business matters and activities fromthe perspective of legal environment of business. Teaching Methods The lessons shall primarily base on lectures and discussions on the legal concepts andcases. From time to time, students will be asked to write papers on the required questionsand/or make presentations on the selected topics. 1Bus A 2106 Legal Environment of Business Course SyllabusAttendance Policy As a rule, students are expected to attend all the class meetings. These will be announced several days before the followingmeeting. Essential Reading Materials1a) Azerbaijani Legislation:Constitution;Civil Code;Employment Code; Law on Entrepreneurship; Law on the Registration of Legal Entities; Law on Insolvency and Bankruptcy; Law on Banks; Law on the Central Bank of Azerbaijan Republic; Law on Insurance; b) LiteratureContemporary Business and Commerce Law, H.Cheeseman Commentaries and cases on the Law of Business Organizations. W.Allen et all, III EditionGrading Grading shall base on the grading policy of the University encompassing at leastparticipation/discussion, paper writing and topic presentation grades. Students are required to participate in class discussions and respond/comment to thequestions asked by the Instructor. Students are required to read assigned materials before the meeting. The materials will besent to students ‘ emails at least 2 days before the meeting. Papers shall be 4-7 pages long (font size 12; line spacing 1.5). Instructor will providestudents with several topics/questions to be chosen individually. Each Student/Student group shall present a specific topic (this can be arguments from acase) during the time period determined by the Instructor. Students are required to timely arrive at the classroom (5 minutes grace period). Students still have to comply with assignment requirements for missed classes. In such cases, Instructor may require alternate assignments. Late assignments will be graded for 50% of points of that assignment. Students must abstain from plagiarism and cite sources appropriately – this applies both to oral assignments and papers. Serious breach of this provision will result in the failure for specific assignment (Cheating will be considered as plagiarism). 2. Students shall not engage in anything interrupting the flow of class. Bringing beverages to class room is allowed, food not encouraged. 4Bus A 2106 Legal Environment of Business Course Syllabus3.
